Terms & Conditions
eFilingAPI.com · Last updated October 1, 2026
These Terms govern eFilingAPI.com and eFiling API LLC’s document-preparation, submission, recording-coordination, tracking, data, API, and related services. eFiling API is a recording and workflow service, not a law firm.
1. Acceptance
By accessing the website, creating an account, submitting a document, placing an order, using an API, or continuing after an update, you agree to these Terms & Conditions. If you use the service for an organization, you represent that you have authority to bind it, and “you” includes the organization and each person acting for it.
2. Who we are; no legal advice
eFiling API LLC is a Wyoming limited liability company operating as a document-preparation, courier, recording-agent, and workflow-coordination service. We are not a law firm, title company, escrow agent, notary, fiduciary, financial adviser, or government recording office. We do not practice law, represent you, select legal theories, determine your rights, or provide legal, tax, financial, or title advice. No attorney-client or fiduciary relationship is created.
If you need legal advice, document drafting, title review, tax analysis, or advice about a filing’s effect, consult licensed counsel or another qualified professional in the relevant jurisdiction.
3. The service
Depending on the order and jurisdiction, we may help prepare forms, validate information, coordinate signatures or notarization, submit to a recorder or e-recording vendor, pay recording fees, track status, store confirmations, generate reports, or expose API endpoints. Availability varies by jurisdiction, document type, customer, and third-party system. Beta, preview, sandbox, experimental, and integration features may be incomplete or change without notice.
4. Customer responsibility and authority
You are solely responsible for the accuracy, completeness, legality, enforceability, authority, and appropriateness of every document, instruction, party name, property and legal description, identifier, amount, signature, attachment, and delivery method you submit. You represent that you have authority to sign, file, record, amend, release, or otherwise act on the document and property; that all required authorizations were obtained; and that the filing violates no law, court order, contract, or third-party right.
Review every document before submission. We may rely on your instructions without independently verifying them. Do not file or record where you lack authority.
5. Execution, notarization and e-recording
You are responsible for complying with execution, witness, notarization, acknowledgment, formatting, cover-sheet, redaction, transfer-tax, and e-recording requirements. A document may be rejected, delayed, returned, or corrected for a defect, missing fee, discrepancy, formatting issue, signer problem, county policy, rejected payment, or third-party outage. We do not guarantee that any document will be accepted, recorded, indexed, assigned a recording number, or given a particular legal effect.
6. Fees, taxes and third-party charges
You agree to pay all quoted service fees, recording charges, courier charges, vendor charges, taxes, surcharges, and other amounts disclosed during checkout or in a separate written agreement. Third-party fees and government charges may change without notice. You authorize us and our processors to charge your selected payment method for amounts you approve and amounts properly due for services already performed.
Quoted turnaround times are estimates only. If a filing is rejected or requires correction, additional fees, charges, or resubmission may apply. Except where required by law or expressly stated in writing, fees are non-refundable. Chargeback abuse may result in suspension, collection activity, and loss of access.
7. No guarantee of results
We do not guarantee recording, approval, priority, title position, enforceability, acceptance by a court or agency, or a particular outcome from any filing. A recording is not a legal opinion, title report, lien priority determination, or certification of ownership or authority. Always obtain independent legal, title, tax, and financial advice appropriate to the transaction.
8. Accounts, admin access and security
You agree to provide accurate account information, protect passwords, API keys, admin credentials, and session links, and promptly notify us of suspected unauthorized access. You are responsible for all activity under your account and for ensuring that only authorized personnel access the admin console, filing data, uploaded documents, or API credentials. We may use rate limits, verification, multi-factor controls, IP restrictions, and other safeguards.
9. Uploaded documents and data
You are responsible for the documents and information you upload, including ensuring that you have the right to share them and that they do not contain information you are prohibited from disclosing. You grant eFiling API LLC a limited, worldwide, non-exclusive licence to host, process, transmit, display, store, copy, and use your documents and data as needed to provide the service, comply with law, prevent fraud, maintain records, and improve the service.
We use safeguards designed to protect data, but no system is perfectly secure or available. Maintain independent copies of source documents and records you cannot risk losing. Do not upload unneeded sensitive information such as Social Security numbers, bank account details, health information, or credentials unless the filing requires it and the transmission method is appropriate.
10. Privacy and service providers
We may collect account information, filing details, documents, payment information, communications, support records, logs, and technical data. We may share information with payment processors, e-recording vendors, couriers, notaries, identity or fraud-prevention providers, hosting providers, professional advisers, and government offices as needed to perform the service, comply with law, or protect rights and safety.
Third-party providers have their own terms and privacy practices. Do not send confidential information through an insecure channel. Privacy requests and data questions should be sent to [email protected].
11. API and third-party integrations
API access is limited to the credentials, scopes, volume, and environments we authorize. You may not resell API access, bypass rate limits, overload the service, submit unlawful or unauthorized recordings, or use the API to access another customer’s data. APIs may change, be suspended, or be withdrawn. Third-party systems, exchanges, title platforms, lender systems, and county portals are not under our control and may be unavailable, inaccurate, or changed without notice.
12. Acceptable use
You agree not to:
- submit false, forged, misleading, unauthorized, or improperly executed documents;
- access the service without authority, impersonate another person, or misuse credentials;
- interfere with, overload, probe, or bypass security, authentication, rate limits, or access controls;
- scrape, copy, resell, reverse engineer, or build a competing service from the service without written permission;
- upload malware, unlawful content, or information you do not have the right to disclose;
- use the service in violation of sanctions, anti-money-laundering, consumer-protection, privacy, recording, or other applicable law; or
- use the service to harass, defraud, or harm another person.
13. Intellectual property
The website, software, workflows, forms we author, designs, compilations, branding, and documentation are owned by eFiling API LLC or its licensors and are protected by intellectual-property laws. You may use the service and its output for your authorized business purposes. You may not copy, resell, sublicense, or commercially exploit the service itself without written permission. Third-party forms, statutes, registry data, trademarks, and content belong to their respective owners.
14. Confidentiality and feedback
Each party will use reasonable care to protect confidential information received from the other. Confidential information does not include information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law. If you send suggestions or feedback, you grant us the right to use them without restriction or compensation.
15. Disclaimer of warranties
THE SERVICE, DOCUMENTS, DATA, TRACKING INFORMATION, AND OUTPUT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFILING API LLC DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RECORDABILITY, ENFORCEABILITY, SECURITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT A FILING WILL BE ACCEPTED, RECORDED, PRIORITIZED, OR EFFECTIVE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFILING API LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, VENDORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY, LOSS OF TITLE OR LIEN PRIORITY, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, OR PROPERTY DAMAGE ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow some limits, so parts of this section may not apply.
17. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless eFiling API LLC and its members, managers, employees, contractors, vendors, and licensors from claims, losses, liabilities, damages, judgments, and expenses (including reasonable attorneys’ fees) arising from your documents or instructions, your violation of these Terms, your violation of law or another person’s rights, or your unauthorized filing or recording.
18. Suspension and termination
We may suspend, restrict, or terminate access if we believe you violated these Terms, created legal, security, or fraud risk, failed to pay amounts due, or used the service unlawfully or abusively. You may stop using the service at any time, but you remain responsible for amounts already due and for records you are obligated to retain. Sections on ownership, disclaimers, liability, indemnity, confidential information, and disputes survive termination.
19. Governing law and disputes
These Terms are governed by Wyoming law and applicable United States federal law. Before filing a claim, contact us at [email protected] and give us at least thirty (30) days to attempt an informal resolution. Either party may bring an individual small-claims action if it qualifies. Otherwise, disputes will be resolved in the state or federal courts located in Wyoming, and you consent to venue and personal jurisdiction there, unless applicable law requires otherwise. To the extent permitted by law, claims must be brought individually and not as part of a class, collective, or representative action, and each party waives trial by jury. Any claim must be brought within one year after it arises, unless the law requires a longer period.
20. Electronic signatures and notices
You consent to electronic records, signatures, notices, disclosures, and communications to the extent permitted by law. Clicking, checking, signing, submitting, or using an electronic authorization has the same effect as a handwritten signature. You are responsible for maintaining hardware, software, and a valid email address needed to receive notices. Legal notices to us must be sent to [email protected] and are effective when received.
21. General terms
If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in a merger, acquisition, reorganization, or sale of assets. These Terms and any separate written service agreement are the entire agreement regarding the service. Headings are for convenience only.
22. Changes and contact
We may update these Terms from time to time. The date at the top shows the current version. Material changes may be posted on the website or communicated by email. Continued use after an update means you accept the revised Terms. Questions may be sent to [email protected].
Additional AI, content and compliance terms
- AI output is not unique. Different users may receive the same or similar output. Your rights in your own content do not give you rights in another user's output or third-party material.
- Review before relying. Independently verify names, numbers, dates, legal descriptions, citations, and professional conclusions before relying on or sharing output.
- Your inputs. You are responsible for submitted content and represent that you have the rights, permissions, and lawful basis needed for us and our providers to process it.
- Feedback. Suggestions, corrections, ratings, and feedback may be used to operate and improve the service without restriction or compensation, subject to a separate written confidentiality agreement.
- Third-party integrations. If you connect a third-party service, you authorize the exchange of information needed for that integration, and the third party's terms apply.
- Trade controls. Do not use the service in violation of sanctions, export-control, anti-money-laundering, or other trade laws, or for a prohibited person or territory.
- Appeals. If access is suspended and you believe it was an error, contact support for review. We are not required to restore access.
- Material changes and consumer rights. Where law requires or a change is materially adverse, we will provide advance notice or obtain consent. These Terms do not waive non-waivable consumer or privacy rights.
- Repeat infringement. We may remove allegedly infringing material and suspend or terminate accounts that repeatedly infringe intellectual-property rights.
